CORPORATE ASSOCIATE ATTORNEY


Location: Charlotte, North Carolina

 

Our client, a prestigious law firm in the Southeast, is seeking a highly motivated Corporate Transactions Associate to join their growing Corporate Practice Group in Charlotte. This is an excellent opportunity for a dynamic attorney to work on sophisticated business transactions, including mergers and acquisitions (M&A), and corporate governance matters for a diverse range of clients.

 

Candidate Profile:

  • JD from a top-tier law school with a strong academic record.
  • Licensed to practice law and in good standing with the North Carolina Bar.
  • 4-6 years of substantive experience in corporate transactions, including M&A, corporate governance, and general commercial transactions.
  • Proven experience in drafting and negotiating transaction documents, conducting due diligence, and advising clients on deal structures, including those in the manufacturing, renewable energy, automotive, and healthcare industries.
  • Exceptional written and oral communication skills.
  • Strong analytical abilities and attention to detail.
  • Ability to manage multiple tasks in a fast-paced environment, both independently and as part of a team.

 

Key Responsibilities:

  • Advise clients on buy-side and sell-side M&A transactions, including drafting, negotiation, and closing of transaction documents.
  • Provide guidance on corporate governance issues and assist clients in structuring and executing business transactions.
  • Conduct due diligence reviews and prepare related reports.
  • Collaborate with other attorneys to ensure the successful delivery of high-quality legal services.
  • Represent clients across a range of industries, including manufacturing and distribution, automotive, life sciences and biotechnology, health care, energy, food and beverage, environmental, and waste services and recycling sectors.
  • Manage all aspects of transactional matters from inception to completion.
